Terms of Service

Effective date: May 17, 2026 · Last updated: September 30, 2026

Read this carefully.
These Terms include important provisions, including an arbitration agreement and class-action waiver in Section 16, that affect your legal rights. By using CatalystPit, you agree to these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and CatalystPit (operated by Benjamin Coghill in Edgewater, Florida, referred to as "CatalystPit," "we," "us," or "our"). By accessing or using catalystpit.com, our newsletter "The Catalyst Brief," or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy and Financial Disclaimer.

If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Your Account

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access
  • Take responsibility for all activity on your account

We may suspend or terminate accounts that violate these Terms, engage in fraud, abuse the Service, or pose a security risk.

4. The Service

CatalystPit provides financial intelligence content including market data, news aggregation, AI-enriched summaries, insider trading filings, congressional trading disclosures, and related information. The Service is offered in free and paid subscription tiers.

The Service is for informational and educational purposes only. It is not investment advice, financial advice, tax advice, or a recommendation to buy, sell, or hold any security. See our Financial Disclaimer for full details.

We strive for accuracy but do not warrant that information is complete, current, or error-free. Data is sourced from third parties — including Tiingo, SEC EDGAR, FINRA, Nasdaq Trader, official congressional disclosure sources, and news and press-release feeds — and may be delayed, inaccurate, or incomplete. Some content is generated or enriched with AI and may contain errors. Market-data freshness depends on your tier, the source and our licensing; each surface labels whether it is showing real-time, delayed or last-session data. See our Financial Disclaimer for our data-source disclosures.

5. Subscriptions and Payments

Paid subscriptions are billed in advance through our payment processor Stripe. Pit Pro is currently offered on two plans:

  • Monthly — $20 per month. Renews automatically every month.
  • Annual — $200 per year. Renews automatically every year.

Automatic renewal. Each plan renews automatically at its applicable billing interval, at the then-current price, until you cancel. By subscribing, you authorize us to charge your payment method at the start of each billing period until you cancel.

  • Cancellation: You may cancel at any time from your account settings, which opens the Stripe customer portal. Cancellation stops future renewals; it does not end your current billing period. You keep access through the end of the billing period you have already paid for — to the end of the month on a monthly plan, or to the end of the year on an annual plan.
  • Refunds: Payments are non-refundable except where required by law. In particular, cancelling an annual plan part-way through the year does not entitle you to a refund or a pro-rated credit for the unused portion. We may issue refunds at our discretion.
  • Price changes: We may change pricing with at least 30 days' notice before it applies to your renewal. If you do not agree, you may cancel before the change takes effect.
  • Discounts and promotion codes: We may offer promotional pricing or accept promotion codes at checkout. Unless the offer says otherwise, a discount applies to the billing periods stated in the offer, and the subscription renews at the standard price afterwards.
  • Changing plans: If you move between the monthly and annual plans, the change and any proration are handled by Stripe at the time you make it.
  • Failed payments: If a payment fails, we may suspend your access until payment is resolved.
  • Taxes: Prices are stated exclusive of any taxes that may apply in your jurisdiction; where we are required to collect tax, it is added at checkout.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Scrape, crawl, or use automated tools to extract data without our written permission
  • Reverse-engineer, decompile, or attempt to extract source code
  • Resell, redistribute, or republish Service content without permission
  • Share your account credentials or allow others to use your account
  • Bypass paywalls, rate limits, or access controls
  • Interfere with the Service's security or operation
  • Use the Service to harass, defame, or harm others
  • Upload viruses, malware, or other harmful code
  • Misrepresent your identity or affiliation

7. Intellectual Property

The Service, including its design, code, branding, content, and trademarks, is owned by CatalystPit or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Third-party data (market data, news articles, SEC filings) remains the property of its respective owners and is used under license or fair use.

8. User Content and Community Conduct

The Service includes community features — The Pit (chat), the Feed, public profiles, and related functionality. "User Content" means anything you submit through the Service, including chat messages, posts, comments, reactions, your profile handle, display name, bio, avatar, linked social accounts, and any feedback or suggestions you send us.

You keep ownership of your User Content. You grant CatalystPit a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, adapt for formatting, and otherwise use your User Content for the purpose of operating, providing, promoting and improving the Service. This license exists so we can show your posts to other users and run the product; it ends when you delete the content, except for copies retained in backups and for content others have already interacted with or quoted. You represent that you have the right to grant this license and that your User Content does not infringe anyone's rights.

Public by default. Content you post in The Pit and the Feed, and the information on your public profile, is visible to other users and may be visible to the public. Do not post anything you are not willing to make public.

Community conduct. In addition to Section 6, when using community features you agree not to:

  • Impersonate any person, company, or CatalystPit itself, or misrepresent your identity, credentials, or affiliation
  • Post scams, fraudulent schemes, pump-and-dump promotions, or anything intended to deceive or manipulate other users about a security
  • Post spam, repetitive content, or unsolicited advertising and promotion
  • Harass, threaten, bully, or abuse other users, or post hateful content targeting people or groups
  • Post unlawful content, or content that infringes copyright, trademark, privacy, or other rights
  • Post malicious links, malware, phishing, or anything designed to compromise other users or the Service
  • Present yourself as providing personalized investment advice, or solicit or manage other people's funds through the Service

Moderation. We may — but are not obliged to — review, moderate, remove, or restrict any User Content, and we may suspend or terminate accounts, for violations of these Terms or where we reasonably believe it is necessary to protect users or the Service. You can report content to us using the reporting controls in the product. We are not responsible for User Content posted by others, and any views expressed by users are theirs, not ours.

9. Third-Party Services

The Service includes links to and integrations with third-party services, including Clerk (accounts), Stripe (payments), Ably (realtime community messaging), Resend (email delivery), Beehiiv (newsletter), Vercel, Neon and Upstash (infrastructure), and market-data, filing and news providers. Our Privacy Policy lists the providers that handle user information. We are not responsible for the content, accuracy, or practices of third parties. Your use of those services is governed by their own terms and policies.

10. Advertising

The Service may display advertising provided by third-party advertising partners, including Google AdSense. Whether an advertisement appears in a given placement, at a given time, is determined by those partners rather than by us — so you may or may not see advertising on any particular visit.

Where advertising appears:

  • Who sees it: Advertising will be shown to logged-out visitors and to signed-in users on the Free tier.
  • Catalyst Pit Pro: Pro subscribers will not be shown advertising for as long as their subscription is active. This is part of what a Pro subscription buys.
  • Separation from content: Advertising is sold and served by third-party networks. Advertisers do not influence our data, rankings, scores, or editorial content, and an advertisement is not a recommendation by us.
  • Cookies and consent: Advertising vendors may set their own cookies. Where the law requires consent before non-essential cookies are set, we will obtain it first. See our Privacy Policy.

11. Affiliate Links and Referral Program

Affiliate links. Some links on the Service to third-party products or services may be affiliate links, meaning we may receive a commission if you sign up or make a purchase through them, at no additional cost to you. Where such links appear they are labelled as affiliate links at the point of display. Receiving a commission does not influence our data, scores or editorial content, and an affiliate link is not a recommendation or investment advice. See also our Financial Disclaimer.

Referral program. Our own referral program — under which a participant can earn a commission for referring paying subscribers — is not yet open. It is not currently accepting participants and no commission is being earned or owed. When it opens it will be governed by the Affiliate Program Terms, which are published in advance so they can be read before anyone enrols. Nothing on the Service today should be read as an offer to participate.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or harmful components. You use the Service at your own risk.

See our Financial Disclaimer for additional risk warnings specific to financial information.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYSTPIT AND ITS OPERATORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY TRADING DECISIONS MADE BASED ON SERVICE CONTENT, OR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

In no event will our total liability for all claims relating to the Service exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless CatalystPit, its operators, agents, and licensors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Service, or your violation of any rights of a third party.

15. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or risk to the Service or other users.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

16. Dispute Resolution and Arbitration

Please read carefully. This section affects your legal rights.

Any dispute arising from these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that you may bring claims in small-claims court if eligible.

Class-action waiver: You and CatalystPit agree to bring disputes only on an individual basis and waive the right to participate in any class, collective, or representative action.

Opt-out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us at legal@catalystpit.com with the subject line "Arbitration Opt-Out."

This section does not prevent either party from seeking injunctive relief for intellectual property violations in court.

17. Governing Law

These Terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-law principles. For any matters not subject to arbitration, you agree to the exclusive jurisdiction of courts located in Volusia County, Florida.

18. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent changes. For material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance.

19. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy and Financial Disclaimer, are the entire agreement between you and CatalystPit.
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms freely.
  • Notices: We may send notices to the email address on your account. You may send notices to legal@catalystpit.com.
